Spinout contracts

We have coached numerous scientific founders and knowledge institutes during spinning out inventions and intellectual property rights from universities and academic hospitals. We possess knowledge on the various aspects of spinning out. In the course of a spin-out process, the following issues play a role:

• Intellectual property rights: licensing or transfer of ownership, royalties, etc.
• Corporate aspects: incorporation of limited liability companies, shareholders agreements, management board, supervisory board, participation agreements
• Subsidies: are subsidies available and what are the terms?
• Personnel/stock options: will employees of the university be transferred to spin-out? Are they entitled to shares and/or stock options? Terms of employment for newly retained personnel
• Laboratory and office facilities: does spin-out need laboratory and/or office facilities of the university? At what conditions is the university willing to do so?
• Future collaboration: joint projects? Intellectual property?
